EMI APP Service Terms

1. Introduction
 
These Service Terms govern your use of the services provided by EMI APP (hereinafter referred to as “we”, “us”, or “our”). By accessing or using our services, you signify your acceptance of these terms. If you do not agree with any part of these terms, you should refrain from using our services.

2. Definitions

· Service: Refers to all the products, features, and functions offered by EMI APP, including but not limited to our photo – sharing platform, related mobile applications, and any associated services.

· User: Any individual or entity that accesses or uses our Service.

· Account: The personalized profile created by a User to access and use the Service, which may include personal information, preferences, and usage history.

3. Service Provision

· We will use reasonable efforts to make the Service available to you. However, we do not guarantee that the Service will be uninterrupted, error – free, or free from security vulnerabilities. There may be times when the Service is unavailable due to maintenance, upgrades, or unforeseen circumstances.

· We reserve the right to modify, suspend, or discontinue the Service, or any part of it, at any time without prior notice. In the event of a significant change to the Service, we will make a reasonable effort to notify you in advance, except in cases where such notice is not feasible or would compromise the security of the Service.

4. User Registration and Account Management

· To use certain features of the Service, you may be required to register an account. When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials (such as username and password) and for all activities that occur under your account.

5. User Conduct

· You agree to use the Service only for lawful purposes and in accordance with these Service Terms. You shall not:

· Interfere with or disrupt the normal operation of the Service, or attempt to gain unauthorized access to the Service, other users’ accounts, or any related systems or networks.

· Engage in any activity that could damage, disable, overburden, or impair our servers or the networks connected to the Service.

· Use any automated means (such as bots, spiders, or scrapers) to access, monitor, or copy any part of the Service without our prior written consent.

6. Intellectual Property Rights

· All intellectual property rights related to the Service, including but not limited to software, trademarks, logos, and content, are owned by us or our licensors. You are granted a limited, non – exclusive, non – transferable license to use the Service for your personal, non – commercial purposes, subject to these Service Terms.

· You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Service without our prior written permission.

7. Content Uploaded by Users

· When you upload content (such as photos, videos, or text) to the Service, you retain ownership of the intellectual property rights in that content. However, by uploading the content, you grant us a worldwide, royalty – free, non – exclusive, sub – licensable, and transferable license to use, reproduce, distribute, modify, display, and perform the content for the purposes of providing and promoting the Service.

· You represent and warrant that you have all the necessary rights to upload the content and that the content does not violate any third – party rights, including but not limited to copyright, trademark, and privacy rights. We reserve the right to remove any content that we believe violates these Service Terms or any applicable laws.

8. Fees and Payments

· While some aspects of the Service may be available for free, certain features or premium services may require payment. The fees for these services will be clearly stated on our website or within the Service.

· You agree to pay all applicable fees in a timely manner. We may use third – party payment processors to handle payments, and you agree to comply with the terms and conditions of those payment processors.

· If you have subscribed to a recurring payment plan, we will automatically charge your designated payment method at the intervals specified in your subscription agreement. You may cancel your subscription at any time, but any prepaid fees for the remaining term of the subscription will generally not be refunded, except as required by applicable law.

9. Termination

· These Service Terms are effective until terminated by either you or us. You may terminate your use of the Service at any time by discontinuing access to the Service and, if applicable, deleting your account.

· We may terminate or suspend your access to the Service immediately, without prior notice, if we believe that you have violated these Service Terms, any applicable laws, or if we determine that it is necessary to protect our rights, property, or the safety of other users.

· Upon termination, all rights and licenses granted to you under these Service Terms will immediately cease, and you must stop using the Service. We will make reasonable efforts to delete your account information, but some residual data may remain in our systems for a limited period for backup, security, or legal compliance purposes.

10. Dispute Resolution

· Any disputes arising out of or in connection with these Service Terms or your use of the Service shall be resolved through friendly negotiation between the parties. If the parties are unable to resolve the dispute through negotiation within a reasonable period (such as 30 days), either party may submit the dispute to arbitration.

· The arbitration shall be conducted in accordance with the rules of a mutually agreed – upon arbitration institution. The arbitration shall be held in [arbitration location, if applicable], and the language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

11. Limitation of Liability

· Our total liability to you for all claims arising out of or in connection with these Service Terms or the Service shall not exceed the amount you have paid to us for the use of the Service in the 12 – month period preceding the date on which the claim arose.

12. Governing Law

· These Service Terms shall be governed by and construed in accordance with the laws of [jurisdiction], without regard to its conflict – of – laws principles.

· We reserve the right to modify these Service Terms at any time. The updated terms will be posted on our website, and the date of the last update will be indicated. Your continued use of the Service after the effective date of the updated terms constitutes your acceptance of the new terms.

· If we make a material change to these Service Terms, we will provide you with reasonable notice, such as by sending an email to the address associated with your account or by prominently displaying a notice within the Service.
